BUSINESS DOCUMENT VERSION

THIS BUSINESS AGREEMENT (the Agreement) is made effective as of between:

RECITALS

WHEREAS, Client desires to retain Service Provider to perform services as described herein and Service Provider represents that it has the qualifications, experience and ability to perform such services; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the performance of such services pursuant to the terms and conditions of this Agreement; and

WHEREAS, the parties intend that the services be performed in a manner consistent with applicable laws and industry standards.

SCOPE OF WORK

Service Provider shall perform the services described below (the Services). The Services shall include, at a minimum, the tasks, deliverables and schedules set forth in the description. Service Provider shall perform the Services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Service Provider for the Services as follows.

Late payments shall accrue interest at the rate of on outstanding balances, or the maximum rate permitted by law, whichever is lower. Client shall also reimburse Service Provider for reasonable collection costs, including attorneys' fees, incurred in collecting overdue amounts.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause if the other party materially breaches any obligation under this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was known to the recipient prior to disclosure without an obligation of confidentiality; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall (i) protect the confidentiality of the disclosing party's Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than a reasonable degree of care; (ii) use Confidential Information only for the purposes of performing obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of laws. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that State for any dispute arising out of this Agreement.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, together with any attachments or exhibits expressly referenced herein, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether written or oral. No modification, amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement to an affiliate or in connection with a sale of substantially all of its assets or equity. Any attempted assignment in violation of this section shall be void.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The headings in this Agreement are for convenience only and shall not affect interpretation.
