This General Business Agreement (the Agreement) is made and entered into as of Effective Date: by and between Provider Name: and Client Name: .

WHEREAS

WHEREAS, Provider is engaged in the business of designing, supplying and servicing vibration control systems and related products and services; and

WHEREAS, Client desires to retain Provider to perform the services and deliverables described in this Agreement under the terms and conditions set forth herein; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to such services and deliverables.

SCOPE OF WORK

PAYMENT TERMS

Invoices shall be submitted by Provider to Client and shall be due and payable within calendar days from receipt. Payment shall be made in lawful currency, by check or electronic transfer as mutually agreed and specified on each invoice.

Any undisputed amount not received by Provider when due shall accrue interest at the rate of per month (or the maximum permitted by law, if lower). In addition, Provider may charge a late fee of for administrative costs for any invoice past due more than the agreed payment period.

TERM AND TERMINATION

Term Commencement Date: . The Agreement shall continue in effect until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective date of termination. Either party may terminate immediately for material breach that is not cured within thirty (30) days after written notice of such breach.

CONFIDENTIALITY

Each party (Recipient) shall hold in confidence and not disclose any Confidential Information of the other party (Discloser). "Confidential Information" means non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of Recipient; (b) was known to Recipient at the time of disclosure without an obligation of confidentiality; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by Recipient without use of Discloser's Confidential Information.

The obligations of confidentiality shall continue for a period of years following termination or expiration of this Agreement, except that trade secrets and materials subject to heightened protection shall be held in confidence for as long as legally protectable.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Exclusive venue for disputes shall be the state or federal courts located in the county specified by the governing law, unless the parties agree otherwise in writing.

MISCELLANEOUS

Entire Agreement: This Agreement, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and representations. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or to an acquirer of substantially all of its assets or business without Client consent while providing notice.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities and costs arising from the indemnifying party's gross negligence or willful misconduct in the performance of its obligations under this Agreement.
