Recitals

WHEREAS, Client desires to engage Service Provider to perform certain business, consulting, or technical services as described in this Agreement for the project titled: ; and

WHEREAS, Service Provider represents that it has the necessary experience, personnel, and qualifications to perform the services and agrees to perform such services under the terms and conditions set forth herein.

Scope of Work

Service Provider shall perform the services, deliverables, and milestones described below. Service Provider shall perform services in a professional manner consistent with industry standards and shall supply all labor, materials, and equipment necessary to complete the work unless otherwise specified.

Payment Terms

Client shall pay Service Provider the total amount of for the services described in this Agreement, in accordance with the schedule below.

Late Payment: Unpaid amounts shall accrue interest at a rate of or the maximum rate permitted by law, whichever is lower. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Service Provider in collecting overdue amounts.

Term and Termination

Term: This Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately for material breach if the breaching party fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public information, data, or materials furnished by the other party (the "Disclosing Party") and identified as confidential or which a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information shall not include information that is (a) already known to the Receiving Party without obligation of confidentiality, (b) generally available to the public other than through a breach of this Agreement, (c) rightfully received from a third party without restriction, or (d) independently developed by the Receiving Party.

The Receiving Party may disclose Confidential Information to its contractors, affiliates, and employees with a need to know provided such persons are bound by confidentiality obligations no less protective than those in this Agreement. Upon termination or written request, the Receiving Party shall return or destroy Confidential Information as directed by the Disclosing Party.

Warranties; Limitation of Liability; Indemnification

Service Provider warrants that it will perform services in a professional and workmanlike manner consistent with prevailing industry standards. EXCEPT FOR THE EXPRESS WARRANTY SET FORTH IN THIS SECTION, SERVICE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability: IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

Indemnification: Each party shall indemnify, defend, and hold harmless the other party from third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement.

Intellectual Property

Unless otherwise agreed in writing, Service Provider retains ownership of all methodologies, tools, and pre-existing intellectual property used or developed in the performance of services. Upon full payment, Service Provider grants Client a non-exclusive, non-transferable license to use deliverables for Client's internal business purposes.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may specify in writing.

Miscellaneous

Relationship of the Parties: The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship. Each party is responsible for its own taxes and benefits.
