Recitals

WHEREAS, Party A is engaged in the business of providing professional services and has the experience and personnel necessary to perform the services described in this Agreement; and

Invoices shall be rendered in accordance with the Payment Schedule and are due within days of receipt unless otherwise agreed in writing.

Late payments shall incur interest at on the outstanding balance, compounded monthly, plus any reasonable collection costs.

Term and Termination

This Agreement shall commence on the Start Date and shall continue until the End Date unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party. Either Party may terminate immediately for material breach that remains uncured for fifteen (15) days after written notice of such breach.

Upon termination, Party A shall deliver any completed work and shall be paid for all services performed and reimbursable expenses incurred through the effective date of termination.

Confidentiality

The Parties acknowledge that during the performance of this Agreement each may receive Confidential Information from the other. "Confidential Information" means all non-public, proprietary or business information disclosed in any form that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.

Each Party agrees: (a) to hold the other Party's Confidential Information in strict confidence; (b) not to use such Confidential Information except to perform obligations under this Agreement; and (c) not to disclose such Confidential Information to any third party except as required by law or to those employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidentiality obligations shall continue for a period of following termination or expiration of this Agreement, except with respect to trade secrets which shall remain protected for as long as they meet the legal definition of a trade secret.

Representations and Warranties; Indemnity

Each Party represents that it has the full corporate power and authority to enter into this Agreement. Party A warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly provided, neither Party makes any other warranty, express or implied.

Each Party agrees to indemnify, defend and hold harmless the other Party from and against any third-party claims arising from that Party's gross negligence, willful misconduct, or breach of this Agreement, subject to applicable limitations of liability.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both Parties.

Miscellaneous

Notices under this Agreement shall be in writing and delivered to the contact addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
