BUSINESS DOCUMENT VIVIAN

Parties

Recitals

WHEREAS, Client Name: desires to obtain certain business services; and

WHEREAS, Service Provider Name: represents that it has the expertise and capacity to perform such services under the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which the services will be provided.

Scope of Work

Service Provider shall perform the services described below in a professional and workmanlike manner in accordance with prevailing industry standards. Services will include, without limitation, the tasks and deliverables expressly described in this section.

Payment Terms

Client shall pay Service Provider the fees for the services as set forth below. All fees are exclusive of taxes unless otherwise stated.

Payments shall be due within the number of days specified in the payment schedule following receipt of an undisputed invoice. Client will notify Service Provider in writing of any disputed portion of an invoice within ten (10) days of receipt; undisputed amounts shall remain payable.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least Notice Period (days): days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and reimbursable expenses incurred through the effective date of termination, plus any non-cancellable commitments made by Service Provider in good faith.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" means non-public business, technical, financial, and other proprietary information designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

Confidential Information shall not include information that: (a) is or becomes generally available to the public other than by a breach of this Agreement; (b) was known to the Receiving Party prior to disclosure by the Disclosing Party as shown by written records; or (c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information. The Receiving Party may disclose Confidential Information as required by law, provided it gives the Disclosing Party prompt written notice and cooperates in any effort to limit the disclosure.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for any dispute arising under this Agreement.

Entire Agreement

This Agreement, together with any exhibits, schedules and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor by merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
