TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any provision of this Agreement and fails to cure such breach within the notice period specified below.

  This Agreement shall automatically renew for successive periods of equal duration unless either party provides written notice of non-renewal at least the notice period specified above prior to the end of the then-current term.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as expressly permitted by this Agreement. The Receiving Party shall use Confidential Information only for the purposes of performing its obligations under this Agreement and shall take reasonable measures to protect the confidentiality of such information. Confidentiality obligations shall survive termination of this Agreement for years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and representations, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.
