BUSINESS DOCUMENT WELLINGTON DOCUMENT

This General Business Agreement ("Agreement") is entered into between the parties identified below as of the Effective Date set forth herein. The parties agree to the terms and conditions contained in this Agreement.

WHEREAS

WHEREAS, Client Name: desires to retain the services of Service Provider Name: for the performance of certain business services described in this Agreement.

WHEREAS, Service Provider represents that it possesses the professional experience, capabilities, and resources necessary to perform the services described in this Agreement and agrees to perform such services in accordance with the terms and conditions set forth herein.

SCOPE OF WORK

The Service Provider shall perform the services and deliverables described below. The description includes the nature, extent, and performance standards for the services to be provided.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the services rendered under this Agreement. All fees shall be payable in U.S. dollars unless otherwise agreed in writing.

All invoices shall reference the applicable services or milestones and shall be delivered to the Client at the Client Address provided above. Disputed amounts must be asserted in writing within ten (10) days of receipt of invoice; undisputed amounts remain payable in accordance with this Agreement.

TERM AND TERMINATION

This Agreement shall commence on the Start Date set forth below and continue until the End Date set forth below, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period set forth above after receipt of written notice specifying the breach. Termination shall not relieve any party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public information of the other party (the "Disclosing Party") received in connection with this Agreement, except as required by law or court order or as expressly permitted in writing by the Disclosing Party. Confidential information shall include business plans, financial information, trade secrets, and customer data.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except with respect to information that becomes public other than by breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below, without giving effect to conflict of laws principles that would result in the application of the laws of another jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other addresses as either party may designate by notice to the other in accordance with this section. Notices shall be deemed given when delivered personally, by nationally recognized overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.
