The obligations in this Section shall not apply to information that is or becomes publicly known through no breach of this Agreement, is rightfully received from a third party without restriction, is independently developed without use of the other party's Confidential Information, or is required to be disclosed by law or court order (provided the recipient gives prompt written notice and cooperates with any lawful attempt to limit disclosure).

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified above without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement will be binding unless in writing and signed by authorized representatives of both parties.

Independent Contractor: Service Provider Name is an independent contractor and not an employee, agent, or partner of Client Name. Service Provider Name is solely responsible for all taxes, withholdings, and other statutory obligations related to its personnel.

Indemnification and Limitation of Liability: Each party shall indemnify the other for losses arising from its willful misconduct or gross negligence. Except for liability arising from willful misconduct or breach of confidentiality, neither party shall be liable for consequential, special, or punitive damages, and aggregate liability shall be limited to the total compensation paid under this Agreement in the preceding twelve months.
