Common Preparation Pitfalls to Avoid

  • Using inconsistent party names or abbreviated legal names, which can cause enforceability questions, tax reporting errors, and delays in counterparty acceptance.
  • Failing to specify payment currency, invoicing cadence, or late fees clearly, leading to disputes and potential collection or accounting complications.
  • Leaving conditional clauses ambiguous without measurable acceptance criteria creates disagreement on performance standards and obstructs objective dispute resolution.
  • Sending unsigned or partially completed copies for filing; failure to capture full audit trail undermines legal proof and complicates record retention.

Contract Invalidity: Missing signatures may render the contract unenforceable.
Tax Withholding: Incorrect TIN can trigger 24% withholding.
Late Filing Penalties: Delays can incur IRS information return fines.
