BUSINESS DOCUMENT WORDING

This Business Agreement (the "Agreement") is entered into as of by and between Client Name: and Service Provider Name: (each a "Party" and together the "Parties").

WHEREAS

WHEREAS, Client requires certain professional services and deliverables described herein; and

WHEREAS, Service Provider represents that it has the experience, skill and resources necessary to perform the services under this Agreement and agrees to perform such services in accordance with the terms set forth below.

SCOPE OF WORK

Service Provider will perform the services and deliver the work products described in this section. The scope may be amended only in writing and signed by both Parties.

PAYMENT TERMS

In consideration for the Services, Client shall pay Service Provider as provided below. Amounts due are exclusive of taxes unless otherwise stated.

Invoices shall be submitted in writing and are payable within the period specified in the Payment Schedule. Late payments accrue interest and may permit suspension of Services after five (5) days' written notice.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate for material breach if the breach is not cured within the notice period. Termination for convenience by either Party requires the notice period stated above and payment for Services performed through the effective date of termination.

CONFIDENTIALITY

Each Party shall keep confidential all non-public information disclosed by the other Party that is marked confidential or would reasonably be understood to be confidential (Confidential Information). Confidential Information shall not include information that is: (a) publicly known through no breach by the receiving Party; (b) rightfully received from a third party without restriction; or (c) independently developed without use of the disclosing Party's Confidential Information.

The receiving Party shall use Confidential Information only for performance of this Agreement and shall protect it using at least the same degree of care it uses to protect its own similar information, but in no event less than reasonable care.

INTELLECTUAL PROPERTY AND DELIVERABLES

Unless otherwise agreed in writing, Service Provider grants to Client a non-exclusive, perpetual, worldwide license to use deliverables for Client's internal business purposes upon full payment. Service Provider retains ownership of its pre-existing materials and general skills, methodologies, know-how, and tools.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each Party shall indemnify and hold harmless the other Party from third-party claims arising from the indemnifying Party's gross negligence, willful misconduct, or breach of this Agreement. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, PUNITIVE OR EXEMPLARY DAMAGES. THE AGGREGATE LIABILITY OF EACH PARTY FOR ANY CLAIMS ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

COMPLIANCE; TAXES; INDEPENDENT CONTRACTOR

Each Party shall comply with applicable laws in performing its obligations. Service Provider is an independent contractor and shall be responsible for applicable taxes and benefits relating to its personnel.

NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below or to such other address as a Party may designate in writing.

GOVERNING LAW; ENTIRE AGREEMENT; AMENDMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. Any amendment must be in writing and signed by both Parties.

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain effective. Neither Party may assign this Agreement without the prior written consent of the other Party, except to an affiliate or in connection with a merger or sale of substantially all assets.
