RECITALS

PAYMENT TERMS

In consideration for the services and deliverables provided by Party A, Party B shall pay the amounts and adhere to the schedule set forth below. All payments shall be made in lawful currency and are exclusive of applicable taxes unless otherwise indicated.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

In the event of a material breach by either party that remains uncured after the Notice Period, the non-breaching party may terminate this Agreement immediately upon written notice to the breaching party. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether in written, oral or electronic form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement.

Exclusions: Confidential Information does not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) is already in the receiving party's possession without obligation of confidentiality; or (iii) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information. If disclosure is compelled by law, the receiving party shall provide prompt written notice and cooperate with reasonable efforts to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without giving effect to conflict of law principles that would result in the application of the laws of another jurisdiction.

MISCELLANEOUS

Entire Agreement: This Agreement, together with any exhibits or attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

Severability: If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a substitute provision to effectuate the original intent.

Assignment: Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that a party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets provided the assignee assumes the assigning party's obligations hereunder.

The parties represent and warrant that they have the full right, power and authority to enter into and perform this Agreement and that the persons signing below are authorized to bind the respective parties.
