BUSINESS DOCUMENT ZIMRIYAH

Parties and Effective Date

This Business Document Zimriyah (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Client operates a business requiring certain services described herein, and Service Provider represents that it has the experience, personnel, and capability to perform such services in accordance with this Agreement; and

WHEREAS, Client desires to engage Service Provider to perform the services set forth in the Scope of Work and Service Provider agrees to provide such services on the terms and conditions contained in this Agreement; and

WHEREAS, the parties intend that the obligations of each party be evidenced by this Agreement and that this Agreement constitutes the entire understanding between the parties with respect to the subject matter herein.

Scope of Work

Service Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards. Specific deliverables, milestones, and acceptance criteria are set forth in the Scope of Work.

Payment Terms

In consideration for the services, Client shall pay Service Provider the fees and expenses described below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Payments are due within days of invoice receipt. Late payments shall bear interest at the lesser of (i) percent per month or (ii) dollars late fee, assessed monthly until paid.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of the breach.

Confidentiality

Each party shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public information that is clearly identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidentiality obligations shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall remain protected for so long as they constitute trade secrets under applicable law.

Indemnification and Liability

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, damages, liabilities and expenses arising out of the indemnitee's gross negligence or willful misconduct. Except for liability resulting from indemnification obligations, each party's aggregate liability under this Agreement shall be limited to direct damages not to exceed the total fees paid to Service Provider under this Agreement during the twelve (12) month period preceding the claim. Neither party shall be liable for incidental, consequential, special or punitive damages.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice to the other.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, including any schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets provided the assignee assumes all obligations hereunder.
