BUSINESS DOCUMENTS PACKAGE

This Business Documents Package Agreement (the Agreement) is entered into as of by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, the Service Provider is engaged in the business of preparing and delivering corporate and transactional documents, templates, and related advisory materials (collectively, the Documents); and

WHEREAS, the Client desires the Service Provider to prepare a defined package of documents and related deliverables as set forth in this Agreement, and the Service Provider is willing to provide such services on the terms and conditions contained herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

SCOPE OF WORK

Deliverables shall include the documents identified below and any ancillary templates or instructions expressly described in the scope. The Service Provider will deliver drafts for Client review and will incorporate up to rounds of reasonable revisions. Additional revisions will be subject to separate fees.

PAYMENT TERMS

Invoices are due within days of invoice date. Late payments shall incur interest at the lesser of (i) per month or (ii) per late invoice as a late fee, together with any costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon prior written notice of days to the other party. Either party may terminate immediately for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential all non-public information disclosed by the other party (the Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information). Confidential Information shall not include information that: (a) is or becomes generally available to the public other than by the Receiving Party's breach of this Agreement; (b) was known to the Receiving Party prior to receipt from the Disclosing Party; or (c) was independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Upon termination or written request, the Receiving Party shall promptly return or destroy all Confidential Information and certify such return or destruction in writing.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, the Service Provider grants the Client a non-exclusive, non-transferable license to use the delivered Documents for the Client's internal business purposes. The Service Provider retains all right, title and interest in pre-existing materials and any templates, methodologies, software, know-how, or derivatives not expressly assigned in writing. Any assignment of intellectual property rights shall be effective only if set forth in a separate written instrument signed by both parties.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for the resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by duly authorized representatives of both parties.
