Parties and Effective Date

This General Business Agreement (the Agreement) is made effective as of by and between:

Recitals

WHEREAS, Provider is engaged in the business of supplying, manufacturing, installing and servicing commercial doors and related hardware; and

WHEREAS, Client desires to procure Provider's services and products for the projects described in this Agreement and Provider is willing to provide such services and products under the terms set forth herein.

Scope of Work

Provider shall furnish all labor, materials, equipment, supervision and services necessary to perform the work described below in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

Client agrees to pay Provider for the goods and services described in the Scope of Work in accordance with the following payment provisions.

Amounts not paid within days of invoice shall incur a late fee of , and accruing interest thereafter at the lesser of the maximum rate permitted by law or the rate specified above.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the Disclosing Party). "Confidential Information" means non-public information disclosed in connection with this Agreement that is designated as confidential or that a reasonable person would understand to be confidential under the circumstances.

The Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement and shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care. Confidential Information shall not include information that is publicly known through no breach of this Agreement, independently developed without use of Confidential Information, or rightfully received from a third party without restriction.

Warranties, Indemnity and Insurance

Provider warrants that services will be performed in a professional manner consistent with industry standards and that installed products will conform to applicable manufacturer specifications for a period of from completion. Provider's sole obligation for breach of warranty shall be repair or replacement at Provider's option.

Each party shall indemnify and hold harmless the other party from claims, liabilities and expenses arising out of its gross negligence or willful misconduct in performance of this Agreement. Provider shall maintain commercial general liability insurance in amounts customary for businesses of similar size and scope.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notice is effective upon receipt.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall first attempt in good faith to resolve any dispute arising under this Agreement through negotiation. If negotiation fails, the parties agree to mediation prior to pursuing litigation.

Entire Agreement; Amendments

This Agreement, together with any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or successor in connection with a sale of substantially all of its assets.

The parties acknowledge that they have read and understand this Agreement and intend to be legally bound by its terms.
