Recitals

WHEREAS, Transferor operates or holds certain business assets, customer relationships, and associated goodwill related to the operation described below; and

WHEREAS, Transferee desires to accept the transfer of specified business assets, responsibilities, and associated obligations on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to set forth the full terms of the transfer to be performed pursuant to the Scope of Work and Payment Terms sections below.

Scope of Work

The Transferor shall deliver and effectuate the transfer of the business components, assets, and operational responsibilities described below. The parties agree that the description below identifies the material elements of the drop and the obligations of each party.

Payment Terms

As consideration for the transfer described herein, Transferee shall pay Transferor the amounts and according to the schedule set forth below. Time is of the essence for payment obligations.

If any payment is not received by Transferor within the period specified in the payment schedule, Transferee shall pay interest on the overdue amount at the rate of per month (or the maximum lawful rate if lower), calculated from the due date until paid. In addition, Transferee agrees to reimburse Transferor for reasonable collection costs and attorneys' fees incurred enforcing payment.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. In addition, either party may terminate for convenience upon prior written notice of days to the other party.

Confidentiality

Each party shall treat as confidential and shall not disclose to third parties any confidential, proprietary, or trade secret information of the other party disclosed in connection with this Agreement ("Confidential Information"), except as required by law or with the prior written consent of the disclosing party. Confidential Information shall remain confidential for a period of years following termination or expiration of this Agreement. Each party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Representations; Compliance

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, that the execution and delivery of this Agreement has been duly authorized, and that the performance of its obligations will not violate any applicable law, contract, or obligation to any third party. Transferor further represents that, to the best of its knowledge, the assets to be transferred are free and clear of liens except as disclosed in writing to Transferee prior to the Effective Date.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement

This Agreement, including the Scope of Work and Payment Terms contained herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, representations, and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties agree to negotiate in good faith to replace any invalid provision with a valid provision that most nearly effects the parties' original intent. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Transferee may assign to an affiliate or successor in interest in connection with a merger or sale of substantially all of its assets.
