What the Business DSA Template Is and When to Use It

The Business DSA Template is a standardized Data Sharing Agreement used by organizations to govern the transfer, processing, and protection of shared data between parties. It sets roles (data controller/processor), permitted uses, security measures, retention rules, and breach notification obligations. This template streamlines negotiation by providing pre‑populated clauses for confidentiality, permitted recipients, data categories, and liability allocation while remaining adaptable for sector‑specific addenda such as HIPAA business associate terms or financial data protections.

Why a Formal DSA Matters for Business Transactions

A clear Data Sharing Agreement reduces legal uncertainty, clarifies responsibilities for data protection, and documents the technical and organizational measures required to safeguard shared information. It also provides an evidentiary record for compliance reviews and incident responses.

Why a Formal DSA Matters for Business Transactions

Who Typically Uses a Business DSA

Organizations that exchange regulated or sensitive information use a DSA to document permissions, security controls, and liabilities.

  • Data controllers and processors managing customer or partner feeds, where contractual clarity on use and retention is required.
  • Compliance, privacy, and legal teams drafting standardized terms across suppliers and integrations.
  • Cloud providers, analytics vendors, and B2B partners that ingest or transform business data.

Use this template as a starting point and add industry addenda (for example, HIPAA) or jurisdictional clauses as needed.

Who Can Sign on Behalf of the Company

Chief Privacy Officer

The Chief Privacy Officer or equivalent typically reviews and approves DSAs for privacy and regulatory alignment, then signs when expressly authorized. Their approval confirms technical and policy controls meet contractual promises and internal risk thresholds.

Authorized Signatory

An authorized executive such as General Counsel, CFO, or delegated director signs where legal authority is documented. Ensure board or corporate delegation rules permit the signatory to bind the organization.

Core Sections Included in a Professional Business DSA Template

A practical template groups clauses into discrete sections to simplify negotiation and ensure coverage of key compliance and operational needs.

Scope of Sharing

Defines data categories, data fields, permitted purposes, and allowed recipients to limit use and reduce ambiguity.

Security Measures

Specifies technical and organizational controls such as encryption, access controls, logging, and vulnerability management.

Retention and Disposal

Sets retention periods, deletion protocols, and secure disposal obligations after the purpose ends.

Breach Notification

Outlines timelines and responsibilities for notifying the other party and affected individuals in the event of a compromise.

Audit and Compliance

Provides rights to audit or require certifications and details scope, frequency, and remediation steps.

Liability and Indemnity

Allocates risk, caps damages where appropriate, and sets indemnity obligations for misuse or negligence.

Step-by-Step: How to Complete the Business DSA Template

Follow these sequential steps to prepare, review, and finalize a Data Sharing Agreement efficiently.

  • 01
Prepare Draft: Populate parties, data description, and purposes.
  • 02
Define Controls: Specify technical, organizational, and subcontractor requirements.
  • 03
Legal Review: Have counsel confirm liability and regulatory clauses.
  • 04
Execute: Obtain authorized signatures; record execution date.

Configuring an Online DSA Workflow

When using an eSignature platform, configure fields and authentication to reflect contractual signature and audit needs.

Field Configuration
Signature Field Required; capture name, title, date
Initials / Checkboxes Use for clause acknowledgements
Conditional Sections Show additional clauses for regulated data types
Authentication Use email+SMS or stronger methods as needed

Where to Send, File, or Store the Executed DSA

Route signed copies to legal, privacy, and the operational owner so obligations are tracked and technical teams can implement controls.

  • Legal Repository: Store master agreement in legal contract management.
  • Privacy Records: Log policy and DPA metadata for audits.
  • Operational Team: Provide engineering teams data mapping details.
  • Backup Storage: Archive executed PDF for retention requirements.

Digital Signing and eSubmission Considerations

Ensure the chosen eSignature platform supports required authentication, audit trails, and archival formats before sending the DSA for signature.

  • Authentication: Email, SMS, KBA, or SSO options
  • Audit Trail: Timestamps, IP, action log
  • Integrations: CRM, ERP, cloud storage connectors

Verify platform compliance needs (for example, HIPAA BAA or 21 CFR Part 11) and retention/export requirements before execution.

Security and Compliance Features to Include or Verify

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
HIPAA BAA: Available where required; execute a BAA
21 CFR Part 11: Supports FDA-regulated record controls
SOC 2: SOC 2 Type II report available
ISO 27001: Maintains ISO 27001 certification
Accessibility: WCAG 2.0 Level AA compliant

Key Risks and Consequences of a Poorly Drafted DSA

Data Breach Fines: Statutory fines and remediation costs
Loss of Control: Unauthorized secondary uses or transfers
Contract Unenforceability: Ambiguous terms may limit remedies
HIPAA Penalties: Civil or criminal penalties for PHI mishandling
Reputational Harm: Customer trust and business impact
Regulatory Action: Enforcement actions and corrective orders

Common Preparation Mistakes to Avoid

  • Using overly broad data descriptions that permit unintended processing and create compliance gaps.
  • Failing to define retention and deletion processes, which complicates response to subject access or deletion requests.
  • Omitting subcontractor or onward transfer rules, leaving the primary party exposed to third‑party failures.
  • Neglecting to align security controls to the sensitivity of the data being shared, increasing breach risk.
