Term and Termination

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other relating to business operations, methodologies, customer data, systems, trade secrets and the results and contents of the Business DVL Report.

Non-Disclosure Obligation: Each party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except to its employees, agents or advisors on a need-to-know basis who are bound by comparable obligations, and shall use such information only to perform obligations under this Agreement.

Duration: Confidentiality obligations shall survive termination for a period of from the date of disclosure, unless a longer period is required by applicable law.

Report Findings and Certification

Indemnification: Each party shall indemnify, defend and hold harmless the other party from third-party claims arising from its breach of this Agreement, gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles.

Entire Agreement; Amendments

Entire Agreement: This Agreement, including any exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings.

Amendments: No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
