BUSINESS DVO DOCUMENT

This Business DVO Document (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client requires certain data verification, validation and related business operational services described herein (the Services), and Provider has the experience and capability to perform the Services in accordance with the terms of this Agreement.

WHEREAS, the parties desire to set forth in writing the scope, payment, confidentiality obligations and other material terms governing the relationship between them.

SCOPE OF WORK

Provider will perform the Services described below. Provider shall deliver Services in a professional manner consistent with industry standards and shall cooperate with Client personnel as reasonably requested.

PAYMENT TERMS

Client shall pay Provider the fees set forth below in consideration for the Services. Unless otherwise provided in writing, fees are exclusive of taxes and reasonable out-of-pocket expenses.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience by providing the other party written notice at least days prior to the effective termination date. Either party may terminate for cause if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach, except where a longer cure period is reasonably required and mutually agreed.

CONFIDENTIALITY

Each party (Recipient) shall hold in confidence and not disclose or use for any purpose other than the performance of this Agreement the Confidential Information of the other party (Discloser). Confidential Information includes non-public business, technical, financial or operational information disclosed in any form.

Recipient shall use at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Recipient may disclose Confidential Information to its employees, contractors and professional advisors who have a need to know and are bound by obligations of confidentiality no less restrictive than those set forth herein.

Confidentiality obligations shall not apply to information that (a) is or becomes publicly known through no breach by Recipient; (b) was known to Recipient without restriction prior to disclosure; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by Recipient without reference to Discloser’s Confidential Information. Recipient may disclose Confidential Information to the extent required by law or valid order of a governmental authority, provided Recipient gives Discloser prompt written notice and cooperates in any effort to obtain confidential treatment.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that state for resolution of disputes arising out of or relating to this Agreement, subject to any mandatory jurisdictional requirements for injunctive relief.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, statements, representations and agreements, whether oral or written. No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely approximates the original intent.
