Parties

Recitals

WHEREAS, the Client desires to assemble and maintain an electronic business packet of documents, records, and deliverables for corporate, regulatory, and transactional purposes, and seeks to engage the Service Provider to prepare, organize, and deliver such materials in accordance with the terms of this Agreement; and

WHEREAS, the Service Provider represents that it has the competence, personnel, and systems necessary to prepare, secure, and transmit electronic document packages in a manner reasonably consistent with industry practices for confidentiality, integrity, and chain-of-custody; and

WHEREAS, the parties wish to set forth their respective rights and obligations regarding the scope, delivery, payment, and protection of the Business E-PACK in this written Agreement effective as of Effective Date:

Scope of Work

The Service Provider shall prepare, compile, and deliver an electronic business packet (E-PACK) containing the documents and deliverables described below. The E-PACK shall be produced in formats agreed by the parties, packaged with an index and custody log, and delivered by the delivery method specified in this Agreement.

Payment Terms

The Client agrees to pay the Service Provider for the services described in the Scope of Work in accordance with the following terms.

Late Payment: If any undisputed amount due is not received within days after its due date, the Client shall pay interest on the overdue amount at the rate of percent per month (or the maximum permissible by applicable law, if lower), plus reasonable collection costs.

Term and Termination

Term: This Agreement will commence on and continue until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement without cause upon providing the other party with days' prior written notice.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice of the breach.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by one party to the other in connection with this Agreement, including but not limited to business records, client lists, financial data, drafts, and digital files included in the E-PACK.

Obligations: The receiving party shall (a) maintain Confidential Information in strict confidence, (b) not use Confidential Information except to perform its obligations under this Agreement, and (c) limit access to Confidential Information to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Duration: The obligations in this Section shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall be protected for as long as they qualify as trade secrets under applicable law.

Data Security and Handling

The Service Provider shall implement and maintain commercially reasonable administrative, physical, and technical safeguards to protect electronic and physical documents included in the E-PACK against unauthorized access, disclosure, alteration, or destruction. Upon Client request or upon termination, the Service Provider shall securely transfer custody of the E-PACK and certify destruction of any Client Confidential Information retained by the Service Provider, except as retained for lawful archival purposes and subject to confidentiality obligations.

Representations and Warranties

Each party represents that it has the right and authority to enter into this Agreement. The Service Provider represents that the services will be performed in a professional and workmanlike manner consistent with reasonable industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The Service Provider's aggregate liability for direct damages arising out of or related to this Agreement shall not exceed the total fees paid by the Client to the Service Provider under this Agreement during the six (6) month period preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Venue for any action arising under this Agreement shall be the state or federal courts located in the county where the Client's principal place of business is located, and the parties submit to the exclusive jurisdiction of such courts.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, and representations. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice is effective upon receipt.

Miscellaneous

If any provision of this Agreement is held unenforceable, the remainder shall continue in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, or employment relationship. Neither party may assign this Agreement without the prior written consent of the other, except that the Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
