BUSINESS E-SIGNATURE PACKAGE AGREEMENT

Parties

This Business E-Signature Package Agreement (the Agreement) is entered into by and between:

Recitals

WHEREAS, Client requires a legally binding electronic signature solution and related services to execute, store and manage business documents; and

WHEREAS, Service Provider has represented that it provides a suite of electronic signature services, including secure signature capture, audit trail generation, and document storage, and is willing to provide those services to Client pursuant to the terms set forth in this Agreement; and

WHEREAS, the parties desire to reduce to writing the terms and conditions under which Service Provider will deliver the Business E-Signature Package to Client.

Scope of Work

Service Provider shall provide the following components as part of the Business E-Signature Package. Specific deliverables, performance standards, and timelines are set forth below and constitute the Scope of Work.

Signature capture and execution

Secure document storage for retention period specified below
Integration with Client systems (as specified in Scope)

Payment Terms

Client agrees to pay Service Provider the fees described below in consideration for the Scope of Work. All fees are exclusive of applicable taxes unless otherwise stated.

Term and Termination

The term of this Agreement shall commence on the Effective Date and continue until the Termination Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period set forth above following written notice. Service Provider may suspend services immediately upon Client's failure to pay undisputed fees when due, subject to applicable notice requirements.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other in connection with this Agreement, including business operations, customer data, pricing, technical designs, and documents processed through the e-signature system. Each party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, contractors, or agents with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure.

Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was rightfully known to the receiving party prior to disclosure; or (iii) is independently developed without use of the disclosing party's Confidential Information. Upon termination, the receiving party shall return or destroy Confidential Information in its possession, except to the extent retention is required by law for audit or regulatory purposes, in which case the receiving party shall continue to protect such information pursuant to this Section.

Electronic Signature and Record Retention

The parties agree that electronic signatures, initials, or other electronic authentication methods applied through the Services constitute a valid signature for all purposes and have the same force and effect as handwritten signatures in accordance with applicable law. Service Provider will maintain an audit trail for each electronically signed document, including signatory identity, timestamps, and IP address information, and will retain such records in accordance with the retention schedule set forth in the Scope of Work or as otherwise required by law.

Limitation of Liability

EXCEPT FOR A PARTY'S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. THE AGGREGATE LIABILITY OF SERVICE PROVIDER ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO SERVICE PROVIDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles. The parties shall first attempt in good faith to resolve any dispute arising under this Agreement through negotiation. If unresolved, the parties agree to submit the dispute to binding arbitration in the county where Client's principal place of business is located, unless the parties agree otherwise in writing.

Entire Agreement

This Agreement, including any exhibits and the Scope of Work, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Representations and Warranties

Each party represents and warrants that it has the full corporate right, power and authority to enter into this Agreement, that the execution and delivery of this Agreement and the performance of its obligations hereunder have been duly authorized by all necessary corporate action, and that this Agreement constitutes a legal, valid and binding obligation enforceable against it in accordance with its terms.
