BUSINESS EA FORM

This Business Engagement Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain business services and administrative support as set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, personnel and capability to provide such services and is willing to provide such services to Client on the terms and conditions set forth herein; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will perform services for Client.

SCOPE OF WORK

Service Provider shall perform the services described below (the "Services"). The Services shall include reasonably necessary activities to accomplish the tasks described and any deliverables set forth in this Agreement.

PAYMENT TERMS

Client agrees to pay Service Provider the fees set forth below in consideration for the Services. Fees are exclusive of taxes unless otherwise stated.

Late payments shall bear a late fee of per month on the outstanding balance, or the maximum permitted by applicable law, whichever is less.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. Either party may terminate immediately for material breach if the breach remains uncured for a period of 10 days after written notice of the breach.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by one party to the other relating to business operations, client lists, pricing, financial information, trade secrets, and any other information that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Recipient shall (a) not use Confidential Information except as necessary to perform under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

The obligations of confidentiality shall survive termination of this Agreement for or as long as required by applicable law for trade secrets.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider assigns to Client all right, title and interest in and to deliverables created specifically for Client under this Agreement. Service Provider retains ownership of its pre-existing materials and tools, and grants Client a perpetual, non-exclusive license to any pre-existing materials incorporated into deliverables solely to the extent necessary to use the deliverable for its intended purposes.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements, understandings, proposals and communications relating thereto. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party may designate by notice in accordance with this Section. Notice is effective upon receipt.

MISCELLANEOUS

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that a party may assign this Agreement in its entirety to a successor by merger or sale of substantially all assets provided that the assignee assumes the assigning party’s obligations hereunder. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
