RECITALS

WHEREAS, Client requires expert consulting, technical advisory and related business services in connection with electronic commerce initiatives, digital product development, and operational process improvements; and

WHEREAS, Contractor possesses the necessary professional skills, personnel and experience to provide the services described herein and is willing to provide such services to Client under the terms and conditions set forth in this Agreement;

WHEREAS, the parties desire to define their respective rights and obligations with respect to the engagement, including scope, fees, confidentiality and governing law.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Contractor the fees and expenses set forth below in consideration for the services rendered.

Any undisputed amount not paid when due shall bear interest at the lesser of (a) percent per month or (b) the maximum rate permitted by applicable law. Client shall also reimburse Contractor for reasonable collection costs and attorneys' fees incurred in enforcing payment.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by a party (the Disclosing Party) to the other (the Receiving Party) in connection with this Agreement, whether disclosed orally, in writing, or in any other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and (b) use Confidential Information only to perform its obligations under this Agreement. Confidential Information does not include information that was known to the Receiving Party prior to disclosure, becomes publicly available through no fault of the Receiving Party, or is independently developed without use of the Disclosing Party's Confidential Information. The obligations in this Section shall survive termination of this Agreement for a period of years.

WARRANTIES, LIMITATION OF LIABILITY & INDEMNITY

Contractor represents and warrants that it will perform services in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

Neither party shall be liable for consequential, incidental, special or punitive damages, except for liability arising from gross negligence, willful misconduct, or indemnification obligations. Each party agrees to indemnify and hold harmless the other from third-party claims arising from the indemnifying party's breach of this Agreement or its negligence.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located within such state, and the parties consent to exclusive jurisdiction and venue therein.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and executed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or other change of control, provided the assignee assumes the assigning party's obligations hereunder.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth above or to such other address as a party may designate in writing.
