Recitals

WHEREAS, Requesting Party: seeks to request a business change described by this Engineering/Enterprise Change Notice (ECN); and

WHEREAS, Implementing Party: has the capacity to evaluate, approve and implement the requested change subject to the terms set forth herein; and

WHEREAS, ECN Number: Effective Date: (the Agreement) memorializes the scope, cost, schedule and approvals for the requested change.

Payment Terms

Consideration: In consideration for the services and changes described in this ECN, Requesting Party shall pay Implementing Party the amounts and pursuant to the schedule set forth below.

Invoicing Procedure: Implementing Party shall submit written invoices referencing the ECN Number. Payment shall be made within the Invoice Due Days after receipt of a properly itemized invoice unless disputed in good faith.

Either party may terminate this ECN for convenience upon written notice to the other party delivered at least days prior to the desired termination date. Termination for cause is permitted immediately upon material breach that remains uncured for thirty (30) days after written notice.

Confidentiality

Each party (the Recipient) shall hold in confidence all Confidential Information disclosed by the other party (the Discloser) and shall not use or disclose such Confidential Information except as necessary to perform under this ECN. Confidential Information includes non-public business, technical, financial, and product information disclosed in connection with this ECN.

Exclusions: Confidential Information does not include information that is (a) publicly known through no fault of Recipient; (b) rightfully received from a third party without breach; or (c) independently developed by Recipient without use of Discloser’s Confidential Information.

Change Control and Approvals

No change to the scope, price, schedule or acceptance criteria described in this ECN shall be effective unless signed by authorized representatives of both parties. Any approved change shall be appended to this ECN as a written Change Order.

Governing Law

This ECN shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Exclusive venue for any dispute arising out of this ECN shall be the state or federal courts located within that State.

Entire Agreement

This ECN, including any attached Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be binding unless executed in writing by authorized representatives of both parties.
