This General Business Agreement ("Agreement") is made and entered into as of Effective Date: by and between Company Name: with principal place of business at , and Service Provider Name: with principal place of business at .

Recitals

WHEREAS, Company is engaged in the business of providing products and services in relation to ; and

WHEREAS, Service Provider possesses expertise and resources to perform the services described herein and desires to provide such services to Company under the terms set forth in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the engagement.

Scope of Work

Payment Terms

Invoices are payable within days of receipt unless otherwise agreed in writing. Late payments shall accrue interest at a rate of per month (or the maximum rate permitted by law), plus reimbursement of reasonable collection costs and attorneys' fees.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breach is not cured within days after written notice specifying the breach.

Upon termination, Company will pay Service Provider for all work performed and reasonable and documented out-of-pocket expenses through the effective date of termination. Service Provider shall deliver to Company all completed and in-progress work product.

Confidentiality

Each party (Receiving Party) shall hold in strict confidence and shall not disclose or use any Confidential Information of the other party (Disclosing Party) except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business, technical, financial and product information marked or reasonably understood to be confidential. Confidential Information does not include information that: (a) is or becomes generally available to the public other than as a result of disclosure by the Receiving Party; (b) is lawfully received from a third party without restriction; or (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.

The obligations of confidentiality will survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall remain protected for as long as they qualify as trade secrets under applicable law.

Intellectual Property and Deliverables

Unless otherwise agreed in writing, Service Provider assigns to Company all right, title and interest in and to deliverables created specifically for Company under this Agreement (the "Work Product"), and Service Provider retains ownership of its pre-existing materials and general know-how. To the extent any rights in Service Provider's pre-existing materials are incorporated into Work Product, Service Provider grants Company a perpetual, non-exclusive, royalty-free license to use such materials as included in the Work Product.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from and against third-party claims arising from the indemnifying party's breach of this Agreement or willful misconduct. Except for indemnification obligations or breaches of confidentiality, neither party's aggregate liability for claims arising out of this Agreement shall exceed the total amount paid by Company to Service Provider under this Agreement in the twelve (12) months preceding the claim. In no event shall either party be liable for consequential, incidental, special, punitive or exemplary damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any exhibits and attachments hereto executed by the parties, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. No amendment or waiver of any provision shall be effective unless in writing and signed by both parties.

Miscellaneous

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party may specify in writing. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
