Recitals

WHEREAS, Licensor owns or controls certain proprietary software, technology, documentation and related materials (collectively, "Licensed Materials") and has the right to grant licenses for use of such Licensed Materials; and

WHEREAS, Licensee desires to obtain, and Licensor agrees to grant, a limited enterprise license to use the Licensed Materials pursuant to the terms set forth in this Agreement and the Scope of Work specified below.

Scope of Work

Licensor shall provide Licensee with the Licensed Materials and related services as set forth below. The parties agree that any ancillary services, custom development, or professional services not expressly described below are out of scope unless mutually agreed in writing.

Payment Terms

Licensee shall pay Licensor the fees set forth below in consideration for the license rights and services. All fees are payable in U.S. dollars and are non-refundable except as set forth in this Agreement.

All invoices issued by Licensor are due in accordance with the Payment Schedule. Any undisputed amount not paid when due shall accrue interest at the rate set forth in the Late Fee field above. Licensee shall be responsible for any collection costs, including reasonable attorneys' fees, incurred by Licensor to recover past due amounts.

Term and Termination

This Agreement shall commence on the Effective Date and continue until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified in the Termination Provisions following receipt of written notice. Termination shall be without prejudice to remedies available at law or in equity.

Confidentiality

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other that is marked confidential or that, by its nature or the circumstances of disclosure, ought reasonably to be treated as confidential. Confidential Information excludes information that is (a) publicly known through no wrongful act of the receiving party; (b) rightfully received from a third party without obligation of confidentiality; (c) independently developed without use of the disclosing party's Confidential Information; or (d) required to be disclosed by law, provided prompt notice is given to allow the disclosing party to seek protective measures.

The receiving party shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. The obligations of confidentiality shall survive termination or expiration of this Agreement for the period specified above.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any disputes arising out of or relating to this Agreement.

Entire Agreement; Miscellaneous

This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No modification shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties acknowledge that remedies at law for breach may be inadequate and that each party shall be entitled to seek injunctive or other equitable relief in addition to any other remedies.
