BUSINESS ELEVATIONS DOCUMENT

This Business Elevations Document ("Agreement") is entered into between the parties identified below as of the Effective Date. The parties agree as follows.

WHEREAS

WHEREAS, Client operates a commercial business and seeks specified enhancements to business operations, presentation, branding, process, or facilities (collectively, the "Elevations"); and

WHEREAS, Service Provider represents that it has the expertise and capacity to perform the Elevations and agrees to perform the services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, schedule, confidentiality and other terms that will govern the delivery and implementation of the Elevations.

Scope of Work

Service Provider shall perform the Elevations as described below. Deliverables, milestones and acceptance criteria will be as provided in the Scope of Work field. Any changes to the scope that materially affect cost or schedule shall be made only by written Change Order signed by authorized representatives of both parties.

Payment Terms

Client shall pay Service Provider for the Elevations in accordance with the amounts and schedule set forth below. All amounts are expressed in lawful currency of the jurisdiction specified in Governing Law.

All undisputed invoices not paid within thirty (30) days of invoice date shall bear interest at the rate set forth above. Client shall also be responsible for reasonable costs of collection, including attorneys' fees, for delinquent amounts.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical and financial information disclosed in any form. Each party shall (a) use Confidential Information only for performing under this Agreement; (b) restrict disclosure to employees, contractors or agents who have a need to know and who are bound to confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure.

Confidential Information does not include information that (i) is or becomes generally available to the public other than through a breach of this Agreement, (ii) was rightfully in the receiving party's possession prior to disclosure, or (iii) is independently developed without use of Confidential Information. Remedies for breach include injunctive relief and damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or other jurisdiction specified below, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, together with any written Change Orders executed by authorized representatives of the parties, constitutes the entire agreement between the parties with respect to the Elevations and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No amendment, modification or waiver of any provision of this Agreement is effective unless in a written instrument signed by both parties.

Miscellaneous Provisions

Relationship of Parties: Service Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship between the parties. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or successor in connection with a merger or sale of substantially all assets.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, losses and expenses arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct, subject to limitations of liability agreed in any separate written provision.
