BUSINESS EMAIL NOTIFICATION AGREEMENT

This Business Email Notification Agreement ("Agreement") is made as of between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client engages Provider to prepare, manage and transmit business email notifications to identified recipients on behalf of Client in accordance with the terms set forth in this Agreement.

WHEREAS, Provider represents that it has the systems, expertise and lawful authority to send commercial and transactional email notifications and to maintain suppression and unsubscribe processes; and

WHEREAS, the parties desire to establish the scope, fees, confidentiality obligations and governing law applicable to Provider's email notification services.

SCOPE OF WORK

Services include creation or review of email content, header configuration, scheduling, list management, delivery monitoring and delivery reports to Client. Any changes to the Scope of Work must be documented in a written amendment signed by both parties.

PAYMENT TERMS

All fees are exclusive of taxes. Provider may suspend services if invoices are not paid when due after the notice period specified in Term and Termination. Provider shall not incur any liability for delayed delivery resulting from Client's failure to timely provide materials or payments.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for material breach if such breach is not cured within the notice period above. Provider may terminate immediately for Client's repeated violations of acceptable use or for conduct that creates legal risk or reputational harm.

CONFIDENTIALITY

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as necessary to perform obligations under this Agreement. "Confidential Information" includes recipient lists, pricing, non-public performance data, and any written or electronic materials marked confidential or reasonably understood to be confidential.

Confidentiality obligations do not apply to information that (i) becomes publicly available without breach; (ii) was rightfully in the receiving party's possession prior to disclosure; (iii) is independently developed; or (iv) is required to be disclosed by law, provided the disclosing party gives prompt notice and cooperates in any restriction of disclosure.

COMPLIANCE; REPRESENTATIONS

Provider and Client each represent and warrant that they will comply with all applicable laws governing electronic communications, including requirements concerning consent, identification of sender, unsubscribe mechanisms and data protection. Client represents that it has obtained all necessary consents to permit Provider to send email notifications on Client's behalf.

NOTICES

Notices under this Agreement shall be in writing and sent to the contact emails above. Notice is effective upon delivery unless a delivery failure is returned by the recipient's mail server.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the internal laws of the state or jurisdiction identified by Client's primary place of business, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved by the parties through good faith negotiation; if unresolved, disputes may be submitted to binding arbitration or a court as selected by the parties in writing.

ENTIRE AGREEMENT

This Agreement, together with any signed amendments and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.
