This Business EMEA Document (the "Agreement") is entered into as of / / by and between the undersigned parties.

WHEREAS, Provider is engaged in the business of providing commercial services and/or deliverables within the Europe, Middle East and Africa (EMEA) region and possesses the expertise necessary to perform the services described herein;

WHEREAS, Client desires to retain Provider to perform certain services and deliverables in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to allocate responsibilities, payment, confidentiality and governing law for performance within the EMEA jurisdictions as specified below.

Scope of Work

Provider shall perform the services and deliver the deliverables described in this section. The description below constitutes the primary obligations of Provider under this Agreement.

Payment Terms

Client shall pay Provider the fees set forth below in consideration for the services and deliverables. All amounts are payable in the currency specified in each invoice and exclusive of any taxes, duties or levies unless otherwise stated.

Provider shall issue itemised invoices in accordance with the schedule above. Client shall notify Provider in writing of any disputed amounts within 14 days of receipt; undisputed amounts remain payable in full in accordance with this Agreement. Taxes, duties and other governmental charges arising from the performance of this Agreement shall be borne by the party required by law to remit such amounts.

The initial term and any renewal term of this Agreement, together with rights of termination, are set out below.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above following written notice. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination, and Provider shall deliver any completed work and invoice for all reasonable costs and fees incurred to the date of termination.

Confidentiality

"Confidential Information" means non-public technical, commercial or financial information disclosed by one party to the other in connection with this Agreement, whether disclosed orally, visually or in writing. Each receiving party shall:

(a) hold Confidential Information in strict confidence and use it solely for performance under this Agreement; (b) not disclose Confidential Information to any third party except to employees, contractors or advisers who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (c) take reasonable measures to protect Confidential Information against unauthorised disclosure. Confidential Information does not include information that is or becomes publicly known through no wrongful act of the receiving party, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

Governing Law and Compliance

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. Each party shall comply with applicable laws, regulations and sanctions applicable to the performance of services in the EMEA region.

Entire Agreement

This Agreement, together with any attachments or schedules explicitly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, proposals, negotiations and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorised representatives of both parties.

Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
