Business Engagement Agreement

This Business Engagement Agreement (the Agreement) is entered into and effective as of (Effective Date), by and between the parties identified below.

Recitals

WHEREAS, Client desires to engage Service Provider to perform certain professional services in accordance with the terms of this Agreement; and

WHEREAS, Service Provider has represented that it possesses the necessary expertise, personnel, and resources to provide the services described herein; and

WHEREAS, the parties wish to set forth the terms and conditions under which such services will be provided.

Scope of Work

Service Provider shall perform the services and deliverables described below in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

As consideration for the services, Client shall pay Service Provider the fees and expenses set forth below, subject to the terms of this Agreement.

Late payments shall incur a late fee of on the outstanding balance, and interest at the maximum rate permitted by applicable law. Client is responsible for all reasonable costs of collection, including attorneys' fees.

Term and Termination

Term: This Agreement shall commence on and continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days following written notice specifying the breach. Termination does not relieve Client of payment obligations for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party shall hold in strict confidence all nonpublic information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential (Confidential Information). Confidential Information shall not include information that is or becomes generally known to the public through no fault of the receiving party, or is rightfully received from a third party without restriction. The obligations of confidentiality shall survive termination of this Agreement for unless otherwise required by law.

Intellectual Property

Unless otherwise agreed in writing, all work product created by Service Provider specifically in connection with the services (Deliverables) shall be the exclusive property of Client upon payment in full for the Deliverables. Service Provider shall retain ownership of its pre-existing intellectual property and tools, and grants Client a nonexclusive, royalty-free license to any pre-existing materials incorporated into the Deliverables solely to the extent necessary for Client's use of the Deliverables.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other from third-party claims arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. Except for a party's breach of confidentiality or indemnification obligations, neither party's aggregate liability arising out of or related to this Agreement shall exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental, special or punitive damages.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or nationally recognized courier and shall be effective upon receipt.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement

This Agreement, together with any attachments and statements of work signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

General Provisions

Relationship of the Parties: Service Provider is an independent contractor and shall not be deemed an employee, agent, partner, or joint venturer of Client. Service Provider shall be responsible for all taxes and withholdings required by law.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
