BUSINESS ENGAGEMENT AGREEMENT

This Business Engagement Agreement ("Agreement") is entered into as of by and between Client Name: (the "Client") and Service Provider Name: (the "Service Provider"). Client and Service Provider are each a "Party" and together the "Parties."

RECITALS

WHEREAS, the Client desires to engage the Service Provider to perform certain professional services and deliverables as described in this Agreement; and

WHEREAS, the Service Provider has the expertise, personnel, and resources necessary to perform the services described below and agrees to provide such services under the terms and conditions set forth in this Agreement.

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to such engagement.

The Service Provider shall perform the services and provide the deliverables described below in a professional and timely manner in accordance with industry standards.

PAYMENT TERMS

The Client shall pay the Service Provider as set forth below. Fees are exclusive of applicable taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured after the expiration of the notice period specified above. Termination shall not relieve the Client of the obligation to pay for services performed and reasonable work-in-progress costs incurred through the effective date of termination.

CONFIDENTIALITY

The Parties acknowledge that during the course of performance they may disclose to each other certain non-public, proprietary, or confidential information ("Confidential Information"). Each Party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound to confidentiality obligations no less protective than those contained herein. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving Party, already known by the receiving Party without restriction, rightfully received from a third party without restriction, or independently developed by the receiving Party.

INTELLECTUAL PROPERTY AND DELIVERABLES

Unless otherwise agreed in writing, and subject to full payment of amounts due, the Service Provider assigns to the Client all right, title, and interest in and to final deliverables created specifically for the Client under this Agreement. The Service Provider retains ownership of pre-existing materials, tools, know-how, and methodologies (collectively, "Retained Materials"). To the extent Retained Materials are included in deliverables, the Service Provider grants the Client a non-exclusive, irrevocable, worldwide license to use those Retained Materials embedded within the deliverables for the Client's internal business purposes.

LIMITATION OF LIABILITY; INDEMNIFICATION

Except for liability arising from a Party's gross negligence, willful misconduct, or breach of confidentiality, each Party's aggregate liability to the other for any claim arising out of this Agreement shall be limited to direct damages not to exceed the total fees paid by the Client to the Service Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim. Each Party shall indemnify and hold harmless the other Party from third-party claims arising from the indemnifying Party's negligence, willful misconduct, or material breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

The Service Provider is an independent contractor and not an employee, partner, or joint venturer of the Client. Neither Party may assign this Agreement without the prior written consent of the other, except in connection with a sale of substantially all of its assets or a change of control. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
