Confidentiality

Definition: For the purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other, whether in written, oral, electronic or other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Protection: Receiving Party shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) protect the Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care; and (c) not disclose Confidential Information to any third party except as permitted in this Agreement.

Duration of Obligation: The confidentiality obligations under this Agreement shall continue for a period of years from the date of disclosure, except with respect to trade secrets, for which obligations shall survive for as long as such information remains a trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located within that State.

Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, proposals, negotiations and communications. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, acquisition or sale of substantially all assets.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a substitute provision.
