BUSINESS ENTERPRISE AGREEMENT

This Business Enterprise Agreement ("Agreement") is made and entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Party A is engaged in the business of providing goods and services in the ordinary course of its enterprise and has expertise and resources relevant to the activities described below;

WHEREAS, Party B desires to engage Party A to perform certain services and deliverables and Party A is willing to provide such services on the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

SCOPE OF WORK

Party A shall provide services, deliverables, and performance as described in the Scope of Work below. Deliverables shall meet the specifications and acceptance criteria set forth by the parties in writing.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Party B shall pay Party A as follows.

All payments are due within the period specified in the Payment Schedule. Unpaid amounts shall bear interest at the rate set forth above and may be subject to collection costs, including reasonable attorney fees. Parties shall be responsible for their own taxes unless otherwise required by law.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least Notice Period: days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days after written notice. Termination shall not relieve either party of obligations incurred prior to the effective date of termination, including payment for work performed.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is marked confidential or that a reasonable person would understand to be confidential. Each receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure.

The obligations of confidentiality shall survive termination for a period of Confidentiality Duration: years, except with respect to trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Venue for any dispute arising out of this Agreement shall be the courts located within the selected jurisdiction.

ADDITIONAL TERMS

Assignment: Neither party shall assign this Agreement or any rights or obligations hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Indemnification: Each party (the "Indemnitor") shall defend, indemnify and hold harmless the other party (the "Indemnitee") from and against any third-party claims arising from the Indemnitor's negligence, willful misconduct, or breach of this Agreement, subject to any limitations of liability set forth elsewhere in this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
