BUSINESS EP TEMPLATE

This Business Engagement Agreement ("Agreement") is entered into as of by and between:

Recitals

WHEREAS, Client desires to retain Service Provider to perform certain business services as described herein; and

WHEREAS, Service Provider represents that it possesses the experience, personnel and resources necessary to perform the services in a professional manner; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. Scope of Work

Service Provider shall perform the services described in this section and any exhibits incorporated by reference. Service Provider shall supply all labor, materials, equipment and supervision necessary to complete the services in accordance with standards of care customarily exercised by providers performing similar services.

2. Payment Terms

In consideration for the Services, Client shall pay Service Provider the fees and expenses set forth below in accordance with the schedule and terms herein. Payment does not constitute acceptance of work; acceptance shall be governed by the acceptance criteria set forth in the Scope of Work.

Invoices are payable within days of receipt unless otherwise agreed. Overdue amounts shall accrue interest at the rate specified above and Client shall reimburse Service Provider for reasonable collection costs, including attorneys' fees.

3. Term and Termination

This Agreement commences on and terminates on unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after written notice. Either party may terminate without cause upon days' prior written notice to the other party.

Upon termination, Client shall pay Service Provider for all services performed and reasonable expenses incurred through the effective date of termination. Sections concerning confidentiality, indemnity, and governing law shall survive termination.

4. Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is identified as confidential or would reasonably be understood to be confidential. Each receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as necessary to perform its obligations under this Agreement and subject to confidentiality obligations at least as protective as those herein; and (c) use Confidential Information only for the purposes of performing under this Agreement.

Confidential Information does not include information that: (i) is or becomes publicly available without breach of this Agreement; (ii) was rightfully known to the receiving party prior to disclosure; (iii) is lawfully obtained from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information. The confidentiality obligations shall continue for years following termination of this Agreement.

5. Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, punitive or special damages, and aggregate liability shall not exceed the amounts actually paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws rules. Exclusive venue for any dispute arising under this Agreement shall be the state and federal courts located within the same state, subject to any mandatory jurisdictional rules.

7. Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, proposals and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

8. Notices and Contacts

Miscellaneous Provisions

Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement in connection with a sale of substantially all of its business or assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The parties acknowledge that they have had the opportunity to consult with legal counsel and that any rule of construction that ambiguities be construed against the drafter shall not apply.
