BUSINESS EPA DOCUMENT

This Business Environmental Protection Agreement (the "Agreement") is made and entered into as of Effective Date: , by and between:

WHEREAS

WHEREAS, Party A is a qualified provider of environmental protection, assessment and remediation services and holds necessary professional qualifications, personnel and insurance to perform the services described herein; and

WHEREAS, Party B operates the facility or business located at the address set forth above and desires scientific, engineering and compliance services to avoid, mitigate or remediate environmental impacts arising from its operations; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to performance, payment, confidentiality, indemnity and other matters in a written agreement.

SCOPE OF WORK

Party A shall perform the services and deliverables described below. Party A will perform services in a professional manner consistent with industry standards and applicable environmental laws and regulations.

PAYMENT TERMS

Party B shall pay Party A for services rendered in accordance with the following terms. All amounts are payable in lawful currency of the United States unless otherwise stated.

Late payments shall accrue interest at the rate of % per month (or the maximum permitted by law, if lower). In addition, Party A may suspend performance if payments are more than days past due after providing written notice.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective termination date. Either party may terminate for material breach if such breach remains uncured for a period of thirty (30) days following receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any proprietary, technical, business, or other confidential information obtained from the other party in connection with this Agreement (the "Confidential Information"), except as required by law or as necessary to perform its obligations under this Agreement.

Confidentiality obligations shall continue for a period of years after termination or expiration of this Agreement, except for trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

REGULATORY COMPLIANCE; ENVIRONMENTAL OBLIGATIONS

Party A will perform services in compliance with all applicable environmental, health and safety laws, rules and regulations. Party B shall provide access to facilities, records and personnel as reasonably necessary for Party A to perform its obligations. Party A shall notify Party B immediately of any discovery of conditions that constitute an imminent hazard or regulatory noncompliance.

Party B remains responsible for operational compliance at its facilities and for seeking any permits or authorizations required by regulatory authorities unless otherwise expressly agreed in writing.

LIABILITY, INDEMNIFICATION AND INSURANCE

To the fullest extent permitted by law, each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, damages, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligent acts or willful misconduct in connection with performance under this Agreement.

Party A shall maintain insurance coverage including, but not limited to, commercial general liability and professional liability in amounts reasonably commensurate with the services performed and as indicated above. Certificates of insurance shall be provided to Party B upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and written attachments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of each party.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and be construed so as to best effectuate the parties' intent. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to a successor by merger or sale of substantially all assets.
