What a Business EPPA Template Is

A Business EPPA Template is a standardized Electronic Payment Processing Agreement used by companies and payment providers to define responsibilities for transaction processing, settlement, fees, chargebacks, data security, and regulatory compliance. The template covers payment types (card, ACH, digital wallets), integration approaches (API, hosted checkout), performance expectations, and the allocation of liability, indemnities, and breach remedies. A clear EPPA template reduces negotiation cycles, documents operational duties, and supports consistent onboarding and compliance reviews for merchants and processors.

Why a Standard EPPA Template Matters for Businesses

A Business EPPA Template clarifies fee schedules, security responsibilities, and liability limits to reduce onboarding delays and contractual disputes while supporting PCI and data-protection practices across merchant relationships.

Why a Standard EPPA Template Matters for Businesses

Who Typically Prepares and Uses This Template

Internal and external stakeholders from payments, legal, finance, and IT commonly prepare or review a Business EPPA Template to align operational and compliance requirements.

  • Payments team: operations staff managing merchant onboarding, reconciliation, and chargeback resolution.
  • Legal counsel: negotiates contract terms, indemnities, liability caps, and termination provisions.
  • IT/Integration: engineers and product managers implement API connections, tokenization, and security controls.

The template helps these groups agree on settlement mechanics, data handling responsibilities, dispute procedures, and the documentation required for merchant onboarding.

Essential Sections to Include in a Business EPPA Template

A professional Business EPPA Template groups terms into clear sections for parties, payment scope, fees and settlements, security obligations, dispute handling, and termination to make review and execution efficient.

Parties

Identify the merchant, processor, and authorized sub-processors by legal name and address; include contact and escalation contacts, corporate status, and permitted assignment or subcontracting rules to prevent downstream liability disputes.

Payment Scope

List supported payment methods (card brands, ACH, digital wallets), transaction types (recurring, one-time), geographic limitations, velocity limits, and any excluded categories or high-risk verticals requiring special underwriting.

Fees & Settlements

Specify all fees (percentage and fixed), chargeback fees, monthly minimums, settlement schedules, reserve calculations, fee adjustments for currency conversion, and sample fee calculations or rounding rules to ensure clarity.

Security & PCI

Assign responsibility for PCI scope, require encryption and tokenization standards, mandate regular vulnerability scanning, define breach notification timelines, and require evidence such as Attestation of Compliance or third-party audit reports.

Chargebacks & Disputes

Define chargeback timelines, required evidence formats, merchant obligations for representments, allocation of financial responsibility if thresholds exceeded, dispute escalation steps, and remediation measures after repeated chargebacks.

Termination

Detail termination for cause and convenience, cure periods, effects on settlements and reserves, post-termination data handling, surviving obligations, and responsibilities for unresolved disputes or indemnity claims.

Required Information to Include in the Template

Merchant Name: Full legal entity name
EIN: Nine-digit EIN (no dashes)
Bank Details: Routing and account numbers
Payment Types: Card, ACH, wallet types
PCI Attestation: AOC or ROC required
Authorized Signer: Name, title, signature

Key Dates and Processing Deadlines to Track

Track effective dates, settlement windows, chargeback deadlines, reserve reviews, and contract renewal notice periods to avoid missed obligations or withheld funds.

Effective Date Start:

Date entered as MM/DD/YYYY when obligations begin.

Settlement Timing:

Settlement frequency typically daily or weekly per agreement.

Chargeback Response Window:

Typically 7–30 days depending on card network rules.

Reserve Review Period:

Quarterly or as triggered by volume or chargebacks.

Renewal Notice:

30–90 days' written notice commonly required for changes.

Common Preparation Mistakes to Avoid

  • Incomplete banking details cause settlement failures and unexpected delays; ensure routing numbers, account holder names, and bank verification letters match the merchant legal name.
  • Vague fee language leads to disputes; avoid ambiguous terms like 'standard fees' without explicit examples and calculation methods.
  • Failure to assign PCI scope causes audit gaps; clearly state which party maintains PCI DSS compliance and controls.
  • Missing authority documentation for signers can invalidate execution; include corporate resolution or signing certificate for entities.

Penalties and Risks from an Incorrect or Incomplete EPPA

Chargeback Liability: Potential financial loss per disputed transaction.
Regulatory Fines: PCI or state penalties for data breaches.
Settlement Holds: Processor reserves can delay funds.
Tax Reporting Risk: Incorrect EIN triggers backup withholding.
Contractual Indemnity: Large indemnity obligations post-breach.
Termination Costs: Early termination fees and unsettled claims.
