Parties

Recitals

WHEREAS, Client Name: (the "Client") is engaged in the manufacture, import, distribution or sale of products that are subject to extended producer responsibility obligations; and

WHEREAS, Service Provider Name: (the "Service Provider") provides compliance, collection, reporting and product stewardship services relating to extended producer responsibility ("EPR") laws and regulations; and

WHEREAS, the parties wish to set forth the terms under which the Service Provider will perform EPR-related services on behalf of the Client and the Client will compensate the Service Provider for such services.

Scope of Work

The Service Provider shall perform the services described below in a professional manner and in compliance with all applicable EPR laws, regulations and agency rules. The Service Provider shall have the authority to act as the Client's agent solely for the purpose of meeting EPR obligations expressly delegated in this Agreement.

Payment Terms

Client shall pay Service Provider the fees and reimbursements set forth below in consideration for the Scope of Work. Unless otherwise stated, amounts are payable in lawful currency.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience by providing written notice no fewer than Notice Period (days): days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured thirty (30) days after written notice of such breach.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given its nature. Confidential Information does not include information that is (i) publicly known through no fault of the recipient, (ii) rightfully received from a third party without breach, or (iii) independently developed by the recipient without use of the disclosing party's Confidential Information.

Each party shall hold the other's Confidential Information in confidence, shall not disclose it to any third party except as required to perform this Agreement, and shall use at least the same degree of care to protect it as the receiving party uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall continue for Confidentiality Duration (years): years from the date of disclosure; provided that trade secrets shall remain confidential for so long as they qualify as trade secrets under applicable law.

Compliance, Reporting and Audit

The Service Provider shall perform all services in compliance with applicable EPR laws, rules and regulations, and shall prepare and submit required registrations, reports and payments on behalf of the Client as described in the Scope of Work. The Client shall provide all information and access reasonably necessary for the Service Provider to comply with such obligations.

The Client shall permit the Service Provider, and the Service Provider shall permit the Client or its authorized auditors, to inspect documentation and records related to performance hereunder upon reasonable notice during normal business hours for the purpose of verifying compliance, subject to confidentiality obligations.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any claim, loss, liability or expense (including reasonable attorneys' fees) to the extent caused by the indemnifying party's breach of this Agreement, violation of applicable law or negligent acts or omissions. The Service Provider shall not be responsible for fines or penalties arising from Client's failure to provide accurate product or sales data unless caused by Service Provider's gross negligence or willful misconduct.

Except for indemnification obligations or willful misconduct, the aggregate liability of either party for any claim under this Agreement shall be limited to direct damages not to exceed the total fees paid by the Client to the Service Provider under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Governing Law State: , without regard to principles of conflicts of law.

Entire Agreement; Amendment

This Agreement, including exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations. No modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses below or to such other address as a party may specify in writing in accordance with this section.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to a successor in connection with a merger, acquisition or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
