BUSINESS EQUIPMENT LAPTOP AGREEMENT

Parties

This Business Equipment Laptop Agreement ("Agreement") is entered into between Company Name: , with principal place of business at Company Address: ("Company"), and Employee Name: ("Employee"). The Company and the Employee are collectively referred to as the "Parties."

Recitals

WHEREAS, the Company owns or controls certain laptop equipment that it desires to provide to the Employee for the performance of the Employee's duties; and

WHEREAS, the Employee desires to accept custody and use of such laptop equipment subject to the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants herein, the Parties agree as follows.

Scope of Work and Use

The Company hereby provides the laptop equipment described above to the Employee for business use in connection with Employee's duties. The Employee shall use the equipment only for authorized business purposes and in accordance with Company policies. Personal use is permitted only to the extent expressly authorized in writing by the Company.

Payment Terms (if applicable)

If the Employee is responsible for a contribution toward the cost of the laptop or agrees to purchase terms, the Parties agree to the following payment terms.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for convenience upon written notice delivered to the other Party at least Notice Period (days): days prior to the effective termination date. The Company may terminate immediately for cause, including but not limited to loss, theft, misuse, or failure to comply with Company policies.

Loss, Damage, and Repair

The Employee shall exercise reasonable care to protect the equipment. The Employee shall promptly notify the Company of any loss, theft, or damage. Normal wear and tear shall be borne by the Company.

Confidentiality and Data Security

The Employee shall safeguard all confidential and proprietary information accessed through the equipment and shall comply with the Company's data security policies. The Employee shall not disclose, copy, or remove confidential information except as authorized in the performance of job duties. Upon request or upon termination of employment, the Employee shall return all Company data and any removable media and shall permit Company inspection of the device to ensure removal of Company information.

Representations and Warranties

Each Party represents that it has the authority to enter into this Agreement. The Company represents that it has legal right to provide the equipment. THE EQUIPMENT IS PROVIDED "AS IS" TO THE EXTENT PERMITTED BY LAW; EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE COMPANY MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

Indemnification

The Employee agrees to indemnify, defend, and hold harmless the Company from and against any claims, losses, or liabilities arising from the Employee's negligent or intentional misuse of the equipment, except to the extent such claims arise from the Company's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and communications, whether written or oral. Remedies
