Business Equipment Laptops Agreement

This Business Equipment Laptops Agreement ("Agreement") is entered into as of the Effective Date: by and between Supplier Name: and Client Name: .

WHEREAS

WHEREAS, Supplier is in the business of supplying, configuring and delivering laptop computer equipment and associated accessories and services; and

WHEREAS, Client desires to acquire certain laptop equipment and related services for business use under the terms set forth in this Agreement.

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the acquisition, delivery, acceptance, payment and maintenance of the equipment.

SCOPE OF WORK

Supplier shall procure, configure, deliver, and, if specified, provide limited setup services for the laptop equipment described in the Equipment Schedule below. Supplier shall perform services in a commercially reasonable manner and in accordance with industry standards.

EQUIPMENT SCHEDULE

The following is an itemized list of laptops and accessories to be supplied under this Agreement. Additional items may be added by written amendment signed by both parties.

PAYMENT TERMS

Client shall pay Supplier the aggregate purchase price or service fees as set forth below. Payments are non-refundable except as expressly provided in this Agreement.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, plus reasonable collection costs. A late fee of per month will apply, subject to a minimum late payment charge of .

DELIVERY, ACCEPTANCE, AND WARRANTY

Delivery shall be FCA Supplier's facility unless otherwise agreed in writing. Title and risk of loss shall transfer as set forth in this Agreement or as required by applicable law.

Warranty: Supplier warrants that supplied laptops shall be free from material defects in materials and workmanship for a period of from the date of delivery. Remedies are limited to repair or replacement at Supplier's option, unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate for material breach if the breaching party fails to cure within after written notice. Either party may terminate without cause upon days' prior written notice to the other party.

CONFIDENTIALITY

Each party shall keep confidential all non-public business, technical and financial information disclosed by the other party that is designated confidential or that a reasonable person would consider confidential ("Confidential Information"). Confidential Information shall not include information that is publicly known through no breach by the receiving party or independently developed without use of the disclosing party's Confidential Information.

Confidentiality Obligation Term: Receiving party's obligation with respect to Confidential Information shall survive termination of this Agreement for a period of years, unless a longer period is required by applicable law.

INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from claims, damages, liabilities and expenses arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct, provided that indemnification obligations are subject to the limitations of liability set forth herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Agreement, subject to any mandatory venue rules.

ENTIRE AGREEMENT

This Agreement, including the Equipment Schedule and any written attachments executed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals or representations, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses provided by the parties.
