RECITALS

WHEREAS, Lessor owns certain equipment described below and is willing to lease that equipment to Lessee on the terms and conditions set forth herein; and

WHEREAS, Lessee desires to lease the equipment from Lessor for use in Lessee's business operations subject to the covenants, representations and warranties contained in this Agreement.

SCOPE OF WORK

Lessee shall use the Equipment solely for lawful business purposes and in accordance with manufacturer's instructions and accepted industry practices. Lessee shall not permit third parties to remove or relocate the Equipment without Lessor's prior written consent.

PAYMENT TERMS

Lessee shall pay rent to Lessor as follows. All amounts are payable in lawful currency and are exclusive of taxes unless otherwise stated.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon Notice Period: days' prior written notice to the other party. Termination for cause may occur immediately upon written notice in the event of material default, insolvency, or failure to cure within thirty (30) days of written demand unless specified otherwise herein.

MAINTENANCE, INSURANCE, TAXES

Lessee is responsible for routine maintenance and care of the Equipment. Lessor shall remain the owner of the Equipment. Lessee shall, at its expense, maintain insurance on the Equipment against risk of loss, theft and liability in reasonable amounts and name Lessor as loss payee or additional insured as reasonably requested.

DEFAULT AND REMEDIES

Events of default include failure to pay rent, abandonment of the Equipment, unauthorized transfer, failure to maintain required insurance, insolvency, or breach of material covenant. Upon default, Lessor may pursue any remedies available at law or equity including, without limitation, immediate repossession of Equipment, recovery of unpaid rent, costs of repair, and reasonable attorneys' fees.

RETURN OF EQUIPMENT

Upon expiration or termination Lessee shall return the Equipment to Lessor in good working condition, ordinary wear and tear excepted. Lessee shall be responsible for the cost of repairing damage beyond ordinary wear and tear and for any missing components or accessories.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose nonpublic information of the other party acquired in connection with this Agreement. Confidential information does not include information that (i) is or becomes publicly known other than through a breach of this Agreement, (ii) is lawfully received from a third party without restriction, or (iii) is independently developed.

INDEMNITY AND LIMITATION OF LIABILITY

Lessee shall indemnify, defend and hold harmless Lessor from and against any loss, damage, liability, claim, or expense (including reasonable attorneys' fees) arising out of Lessee's use, possession or operation of the Equipment, except to the extent caused by Lessor's gross negligence or willful misconduct. EXCEPT FOR INDEMNIFICATION OBLIGATIONS AND LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Agreement, together with any attachments or schedules, constitutes the entire agreement between the parties with respect to the Equipment and supersedes all prior agreements, understandings and representations, whether written or oral. No amendment shall be effective unless in writing signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand delivery, certified mail, or overnight courier and shall be deemed received upon delivery.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. No waiver of any breach shall be deemed a waiver of any subsequent breach. The parties acknowledge that they have had an opportunity to review this Agreement with counsel.
