BUSINESS EQUIPMENT RENTAL AGREEMENT

Parties

This Business Equipment Rental Agreement (the Agreement) is entered into on , by and between:

WHEREAS

WHEREAS, Lessor is the lawful owner of the equipment described below and has the right to lease such equipment; and

WHEREAS, Lessee seeks to rent the equipment from Lessor for Lessee's commercial operations under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the rental, operation, maintenance, and return of the equipment.

Equipment

Scope of Work

Lessor agrees to rent to Lessee, and Lessee agrees to rent from Lessor, the equipment identified above for use solely in Lessee's business operations in accordance with the terms below. Lessee shall use the equipment in a commercially reasonable manner and in compliance with all applicable laws and manufacturer instructions.

Payment Terms

Lessee shall pay Lessor rental fees as set forth below. All payments are due in lawful money of the United States and are non-refundable except as expressly provided in this Agreement.

Late payments shall incur a late fee equal to of the overdue amount per month or the maximum allowable by law, whichever is less. Lessee shall also be responsible for all collection costs and reasonable attorneys' fees incurred by Lessor in enforcing payment.

Term and Termination

The term of this Agreement shall commence on , and shall continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience by providing the other party with written notice at least days prior to the effective date of termination. Lessor may terminate immediately upon written notice if Lessee is in material default and fails to cure within the cure period specified herein.

Delivery, Acceptance and Return

Delivery of the equipment shall be made to Lessee at the address specified above on or about , . Lessee shall inspect the equipment upon delivery and shall notify Lessor in writing of any defects or nonconformities within three (3) business days of delivery. Failure to provide such notice shall constitute acceptance of the equipment.

Upon expiration or termination of this Agreement, Lessee shall return the equipment to Lessor in the condition received, ordinary wear and tear excepted, within five (5) business days unless otherwise agreed in writing.

Maintenance, Repairs and Use Restrictions

Lessee shall maintain the equipment in good working condition and, at Lessee's expense, perform routine maintenance and minor repairs. Lessee shall not alter, modify, or attach fixtures to the equipment without Lessor's prior written consent. Major repairs shall be the responsibility of Lessor unless caused by Lessee's misuse, negligence, or unauthorized alteration, in which case Lessee shall bear the cost of repair and any associated downtime.

Insurance and Risk of Loss

Lessee shall obtain and maintain, at its sole expense, insurance covering the equipment for all-risk physical damage and commercial general liability insurance naming Lessor as an additional insured and loss payee as to the equipment. Lessee shall provide certificates of insurance to Lessor prior to delivery. Risk of loss or damage to the equipment shall pass to Lessee upon delivery and shall remain with Lessee until return and acceptance by Lessor.

Indemnification and Limitation of Liability

Lessee agrees to indemnify, defend and hold harmless Lessor, its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Lessee's possession, use, operation or maintenance of the equipment, except to the extent caused by Lessor's gross negligence or willful misconduct. EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL LESSOR BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Default and Remedies

The occurrence of any of the following shall constitute a default by Lessee: (a) failure to pay any amount when due; (b) insolvency or bankruptcy of Lessee; (c) abandonment or unauthorized removal of the equipment; or (d) material breach of any other obligation under this Agreement. Upon default, Lessor may, in addition to other remedies provided by law, terminate this Agreement, take immediate possession of the equipment and recover all unpaid rent, costs of recovery, and damages.

Confidentiality

Each party acknowledges that in the course of performance it may receive confidential business information of the other. Each party agrees to maintain such information in confidence and not to disclose it to third parties or use it for any purpose other than the performance of this Agreement, except as required by law. This obligation shall survive termination of this Agreement for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflicts of law principles.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section or such other address as either party may designate by written notice. Notices shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid.

Assignment; Waiver; Severability; Entire Agreement

Neither party may assign this Agreement without the prior written consent of the other, except that Lessor may assign to an affiliate or successor to its business. No waiver of any breach shall be effective unless in writing. If any provision is held invalid or unenforceable, the remainder shall remain in full force and effect. This Agreement, together with any schedules or addenda executed by the parties, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof.
