Recitals

WHEREAS, Client maintains business operations that require certain electronic, mechanical, or information-technology equipment and desires to upgrade, replace, or enhance specified equipment to maintain operational continuity and efficiency; and

WHEREAS, Vendor represents that it has the experience, personnel, and technical capability to perform the equipment assessment, procurement, installation, testing, and commissioning services described in this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions under which Vendor will perform the equipment upgrade services and Client will compensate Vendor.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Termination shall not relieve Client of the obligation to pay for work performed through the termination date.

Confidentiality

Each party shall maintain in confidence all proprietary, technical, financial, and business information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that is (i) already known to the receiving party without restriction; (ii) publicly known through no fault of the receiving party; or (iii) rightfully obtained from a third party without breach of an obligation of confidentiality. The receiving party shall use Confidential Information solely for performance of this Agreement and shall restrict disclosure to employees, agents, or subcontractors with a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. This obligation survives for a period of three (3) years following termination or expiration of this Agreement.

Warranties; Compliance

Vendor warrants that all equipment supplied and installation services performed under this Agreement will conform to applicable manufacturer specifications and industry standards for a period of months from final acceptance. Vendor shall comply with all applicable laws and regulations relating to equipment disposal, data sanitization, environmental controls, and worker safety. Client shall be responsible for securing any onsite access permits or approvals unless otherwise agreed in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located within that jurisdiction.

Entire Agreement

This Agreement, including all statements of work, schedules, and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, understandings, and representations, whether written or oral. Any amendment or modification must be in writing and executed by both authorized representatives of Client and Vendor.
