What the Business ERB Document Is and when it matters

The Business ERB Document is a structured corporate record used to document an entity-level business event, approval, or review board decision affecting operations, compliance, or financial commitments. It captures identifying information about the business, the parties involved, the action taken, the effective date, and any required authorizations or attachments. Organizations use the ERB to create an auditable record that supports governance, internal controls, and downstream filings. Proper completion helps preserve legal enforceability, ensures consistent internal review, and provides a retrievable record for audits and regulatory examinations.

Why the Business ERB Document is important for your organization

A clear, complete ERB Document centralizes approvals and creates evidence of corporate decision-making that auditors, lenders, and regulators expect. It reduces ambiguity about authority, timelines, and obligations while improving traceability for compliance programs and internal controls.

Which teams typically prepare and sign the Business ERB Document

Use role-based routing so each party receives only the fields they must complete and so the audit trail clearly reflects who approved what and when.

  • Legal and Compliance teams — prepare language, verify authority, and attach legal exhibits; ensure regulatory obligations are captured.
  • Finance and Accounting — record financial commitments, budgets, and accounting codes for downstream posting and audit trails.
  • Executives and Board Designees — review and sign to confirm corporate authority and acceptance of obligations.
