BUSINESS ESTABLISHMENT AGREEMENT

This Business Establishment Agreement (the Agreement) is entered into on (Effective Date), by and between:

RECITALS

WHEREAS, Founder/Client is forming and establishing a business enterprise to operate under the business name and requires professional establishment services; and

WHEREAS, Service Provider represents that it has the personnel, experience, and resources to provide business establishment, operational setup, and related advisory services described herein; and

WHEREAS, the parties desire to set forth their mutual rights, responsibilities and obligations regarding the Provider's performance and the Client's compensation obligations under the terms of this Agreement.

SCOPE OF WORK

Provider shall deliver professional services necessary to establish, register, and make operational the business described above. Services shall include, but are not limited to, the following deliverables, milestones, and responsibilities:

Provider will use commercially reasonable efforts and qualified personnel to complete each deliverable in accordance with the schedule set forth in the Scope of Work. Any material change to the Scope of Work must be documented and signed by both parties as an amendment to this Agreement.

PAYMENT TERMS

All fees are exclusive of taxes. If any invoice remains unpaid beyond the agreed due date, Provider may assess the stated late fee and suspend performance until outstanding amounts are paid. Client shall reimburse Provider for reasonable collection costs, including attorneys' fees, incurred in enforcing payment.

TERM AND TERMINATION

This Agreement commences on the Start Date: and continues until the End Date: unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure such breach within fifteen (15) days after receipt of written notice. Termination does not relieve Client of the obligation to pay for services performed and expenses incurred prior to termination.

CONFIDENTIALITY

Each party (Recipient) shall hold in strict confidence all confidential or proprietary information disclosed by the other party (Discloser) and shall not use or disclose such information except as necessary to perform obligations under this Agreement. Confidential information excludes information that: (a) is or becomes generally known to the public through no fault of Recipient; (b) was already rightfully in Recipient's possession prior to disclosure; or (c) is rightfully received by Recipient from a third party without breach of an obligation of confidentiality.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's gross negligence, willful misconduct, or breach of this Agreement.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
