Recitals

WHEREAS Client Name: and Provider Name: desire to set forth the terms under which Provider will perform the services and supply the goods described in this Estimate Devis; and

WHEREAS this document constitutes an offer to perform the work and supply the goods according to the Scope of Work and Payment Terms set forth below, and acceptance of this Estimate Devis by Client shall create a binding agreement between the parties as provided herein.

Either party may terminate this agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Provider may suspend work immediately if Client fails to pay any undisputed amount thirty (30) days after written notice of nonpayment.

Confidentiality

Each party shall keep confidential and not disclose to any third party any nonpublic information received from the other party in connection with the Estimate Devis, including but not limited to pricing, technical specifications, business strategies and trade secrets (Confidential Information). Confidential Information shall not include information that is publicly available through no breach of this document or subsequently lawfully obtained from a third party. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Governing Law

This Estimate Devis and any agreement formed upon Client's acceptance shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to its conflict of law rules.

Entire Agreement

This document, together with any attachments and any terms incorporated by written reference herein, constitutes the entire agreement between the parties with respect to the subject matter of this Estimate Devis and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment, modification or waiver of any provision shall be effective unless in writing and signed by authorized representatives of both parties.
