This Business Estimate Order (the Order) is entered into by and between:

WHEREAS

WHEREAS, Client seeks to obtain goods and/or services described in this Order and Provider agrees to provide such goods and/or services in accordance with the terms, pricing and specifications set forth herein;

WHEREAS, Provider has provided a detailed estimate of materials, labor and other costs and the parties desire to set forth the mutually agreed scope, payment terms and conditions governing performance and acceptance.

SCOPE OF WORK

The Provider shall perform the work and supply materials as described below. The description, specifications and exclusions set forth below constitute the scope of work for this Order. Any changes must be approved in writing by both parties.

ITEMIZED ESTIMATE

The following line items constitute the estimated costs. Provider will notify Client if any material change to the estimate is required prior to proceeding.

PAYMENT TERMS

The parties agree that payment shall be made in accordance with the schedule below. All amounts are stated in United States dollars unless otherwise specified.

Client agrees that invoices unpaid beyond the stated due date shall accrue the stated late fee and Provider may suspend performance until past-due amounts are paid in full. Client shall be responsible for all reasonable collection costs and legal fees incurred to collect past-due amounts.

TERM AND TERMINATION

This Order commences on the Start Date and continues until the Completion Date, unless earlier terminated as provided below.

CONFIDENTIALITY

Each party may disclose certain confidential or proprietary information to the other in connection with this Order. Confidential Information shall mean non-public business information disclosed in any form and marked or identified as confidential or which a reasonable person would consider confidential under the circumstances.

Receiving party shall hold Confidential Information in strict confidence, use it only for performance of this Order, and not disclose it to any third party except as required by law. Confidentiality obligations shall survive termination of this Order for a period of years.

GOVERNING LAW

This Order shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for purposes of any dispute arising under this Order.

ENTIRE AGREEMENT

This Order, including all attachments, estimates and change orders executed by the parties, constitutes the entire agreement between Client and Provider with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.

ACKNOWLEDGMENT

By signing below, each party acknowledges that it has read, understands and agrees to be bound by the terms and conditions of this Business Estimate Order, including the Scope of Work and Payment Terms set forth above. Client authorizes Provider to proceed with work upon execution and receipt of any required deposit.
