Business Estimate and Services Agreement

Recitals

WHEREAS, Service Provider: is engaged in the business of providing goods and professional services described herein; and

WHEREAS, Client Name: requests an estimate for the Scope of Work set forth below and intends to rely on this Estimate to form the basis of a binding agreement upon acceptance in accordance with the terms of this document.

NOW, THEREFORE, the parties agree that this document constitutes an estimate and conditional agreement for the services and deliverables described below, subject to the terms and conditions contained herein.

Payment Terms

Payment Terms: Unless otherwise agreed in writing, Client shall pay Service Provider the Total Estimated Amount in accordance with the schedule below. Failure to timely pay any undisputed amount shall constitute a breach and may suspend work.

Late Payment: Any undisputed amount not paid within days after receipt of invoice will accrue interest at % per month or the maximum permitted by law, whichever is less.

Term and Termination

Term: This Estimate and any resulting agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Termination: Either party may terminate for convenience upon providing days' written notice. Termination for cause may be immediate for material breach if such breach remains uncured for a period of days after written notice.

Confidentiality

Each party shall keep confidential all proprietary information disclosed in connection with this Estimate and any subsequent agreement, using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care. Confidential information does not include information that is publicly known through no breach by the receiving party, independently developed, or required to be disclosed by law subject to prior notice to the disclosing party where permissible.

Governing Law

This Estimate and any agreement formed upon acceptance shall be governed by and construed in accordance with the laws of the state or jurisdiction specified: without regard to conflict of laws principles.

Entire Agreement

This Estimate, including any attached schedules and accepted change orders, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendments must be in writing and signed by authorized representatives of both parties.

Acceptance

By checking the box below and signing, Client accepts this Estimate and authorizes Service Provider to proceed in accordance with the Scope of Work and Payment Terms. Acceptance within the Valid Until date binds the parties to the stated Total Estimated Amount unless a written change order is agreed.
