WHEREAS, the Parties acknowledge that adherence to lawful, transparent, and conflict-free business practices is necessary to protect reputation, assets, and stakeholders; and

WHEREAS, the Parties wish to set forth binding obligations concerning standards of conduct, reporting, confidentiality, and remedies in the event of noncompliance.

Scope of Work and Ethical Obligations

The Parties agree to perform the business activities described below in a manner consistent with the principles of integrity, transparency, and compliance with applicable law. Specific obligations include conflict-of-interest avoidance, accurate recordkeeping, and timely reporting of suspected misconduct.

Compliance, Reporting and Training

Each Party shall maintain written policies and provide training reasonably designed to prevent and detect violations of applicable law and the ethics obligations set forth in this Agreement. Each Party shall establish a process for reporting suspected violations and shall protect reporters from retaliation.

Payment Terms

In consideration for the services and obligations under this Business Ethics Document, the Counterparty shall pay the Company in accordance with the terms below.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either Party may terminate this Agreement for material breach by the other Party upon written notice and failure to cure within Notice Period: days. Termination shall not relieve either Party of obligations accrued prior to termination.

Confidentiality

Each Party shall maintain as confidential all Non-Public Information disclosed by the other Party in connection with this Agreement. Confidential Information shall not be disclosed except to employees, agents, or advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as this Agreement. Confidential Information does not include information that is or becomes generally available to the public through no fault of the receiving Party or that is required to be disclosed by law, provided the disclosing Party is given prompt notice and, where legally permissible, an opportunity to seek protective measures.

Remedies and Audit Rights

Upon reasonable notice, the Company may audit the Counterparty's records as they relate to compliance with this Agreement. In the event of a material breach, the non-breaching Party shall be entitled to injunctive relief, specific performance, and any other remedies available at law or in equity, including recovery of reasonable costs and attorneys' fees incurred in enforcing this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict-of-law principles.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, oral or written. No amendment or modification shall be effective unless set forth in a written instrument signed by authorized representatives of both Parties.
