What the Business Ethics Statement Is and Why It Matters

A Business Ethics Statement is a written declaration that sets out an organization's core ethical principles, expected conduct, and accountability mechanisms for employees, contractors, and third parties. It typically addresses conflicts of interest, confidentiality, gifts and hospitality, anti-bribery, and reporting channels. The statement functions as both an internal governance tool and an external signal of corporate integrity, and is often paired with training, attestations, and periodic reaffirmation to ensure consistent application across operations and locations.

Why adopting a clear Business Ethics Statement helps your organization

A concise, well-communicated Business Ethics Statement reduces compliance risk, clarifies employee expectations, and supports consistent decision-making across teams. It helps organizations detect and deter misconduct, satisfy regulator and customer expectations, and document controls required by corporate governance frameworks.

Why adopting a clear Business Ethics Statement helps your organization

Core elements to include in a professional Business Ethics Statement

A practical statement balances high-level principles with concrete procedures and reporting steps so employees can translate values into action. Include enforceable rules where necessary and provide clear contact points for questions or concerns.

Statement of values

Declare guiding principles such as integrity, fairness, and respect, and explain how these values apply to everyday decisions within the organization.

Scope and applicability

Define who is covered (employees, contractors, subsidiaries) and the types of activities governed, including cross-border and remote work considerations.

Conflict rules

Describe conflicts of interest, disclosure procedures, and approval paths for gifts, outside employment, and related-party transactions.

Reporting channels

List internal and third-party reporting options (hotline, email, compliance officer) and explain non-retaliation protections for reporters.

Compliance obligations

Summarize key legal and regulatory obligations relevant to the business, including anti-bribery and data-protection requirements.

Acknowledgment and records

Require signatory acknowledgment and retention of signed statements to demonstrate distribution, training completion, and acceptance.

Who typically issues and signs a Business Ethics Statement

Clear assignment of drafting, approval, and record-keeping responsibilities streamlines enforcement and reduces ambiguity when incidents arise.

  • Human resources and compliance teams typically draft the statement and manage distribution, training, and recordkeeping responsibilities.
  • Executive leadership or the board formally adopts the statement to demonstrate tone at the top and ensure enforcement authority.
  • Employees, contractors, and relevant third parties are asked to acknowledge or sign the statement to confirm understanding and acceptance.

Step-by-step: drafting and issuing a Business Ethics Statement

Follow these steps to create, approve, and distribute a Business Ethics Statement with clear accountability and an auditable trail.

  • 01
Draft policy: Collect legal and operational requirements; write concise provisions covering core ethics topics.
  • 02
Legal review: Have counsel verify regulatory language and jurisdictional compliance.
  • 03
Approval: Obtain sign-off from the CEO or board to confirm tone at the top.
  • 04
Distribute and record: Share statement, collect signed acknowledgments, and store records securely.
