What a Business Evaluation Proposal Is

A Business Evaluation Proposal is a written document used to present an independent assessment of a companys value, strategic fit, and key financial metrics to prospective buyers, investors, lenders, or internal stakeholders. It typically summarizes the scope of work, valuation approach, assumptions, source documents, and the expected deliverables and timeline. The proposal frames how the evaluator will review historical financials, forecast performance, analyze market comparables, and report risks and mitigants so recipients can decide whether to proceed with a transaction or request further diligence.

Why a Clear Proposal Matters for Decision Making

A structured Business Evaluation Proposal clarifies scope, reduces misunderstandings, and documents assumptions that affect valuation outcomes. When executed with legally valid signatures and records, the proposal serves as an auditable agreement under the ESIGN Act (15 U.S.C. ch. 96) and relevant state UETA laws.

Why a Clear Proposal Matters for Decision Making

Common users and recipients of this proposal

The Business Evaluation Proposal is used by advisors, buyers, sellers, and internal corporate teams to document valuation scope and deliverables before deeper diligence begins.

  • M&A advisors and business brokers preparing valuation summaries for potential buyers and investors.
  • Corporate development teams evaluating acquisitions or divestitures and documenting decision criteria.
  • Lenders and credit committees assessing collateral value, cash flow projections, and repayment risk.

Using a standardized format helps all parties compare proposals consistently and reduces review cycles.

Core sections to include in a professional proposal

A complete Business Evaluation Proposal groups information so reviewers can quickly assess approach, assumptions, and outcomes while preserving an audit trail for later review.

Executive Summary

Concise overview of purpose, valuation conclusion range, key drivers, and a one‑paragraph recommendation for reviewers to read first.

Scope & Methodology

Financial Overview

Summarize historical income statements, balance sheets, and cash flows, and identify any adjustments made to normalize earnings.

Risks & Mitigants

Appendices & Attachments

Key legal and commercial risks of errors

Proposal Rejection: Delayed negotiations
Misstated Valuation: Contract disputes
Missing Signature: Binding issues
Unauthorized Signer: Enforceability risk
Late Delivery: Lost opportunity
Confidentiality Breach: Legal exposure

Common mistakes to avoid when preparing a proposal

  • Leaving primary assumptions undefined, which creates ambiguity in valuation drivers and invites renegotiation after delivery.
  • Submitting inconsistent figures between the executive summary and supporting schedules, prompting reviewer queries and credibility loss.
  • Failing to identify the authorized signatory for each party, which can invalidate the document or require reexecution.
  • Relying on handwritten or scanned signatures without an audit trail, complicating later verification or dispute resolution.

Typical timelines and processing expectations

Establish clear review windows and signature deadlines in the proposal to align expectations and accelerate decision cycles.

Internal Review Window:

Allow 3-5 business days for internal approval

Client Review Window:

Allow 7 calendar days for client comments

Signature Deadline:

Specify a clear sign-by date to avoid delays
