BUSINESS EVENT DEMO DAY AGREEMENT

This Business Event Demo Day Agreement ("Agreement") is made and entered into as of by and between:

RECITALS

WHEREAS, Organizer operates or sponsors an investor and stakeholder presentation event commonly described as a "Demo Day" for the purpose of showcasing businesses, products, and services to invited guests; and

WHEREAS, Participant wishes to present at the Demo Day and Organizer agrees to provide presentation opportunity and certain services on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement, the parties agree as follows:

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the period specified in the Notice Period above following written notice. Organizer may terminate immediately for safety or regulatory concerns.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Confidential Information shall be held in confidence and not disclosed to third parties, except to the extent required by law or as necessary to perform obligations under this Agreement. Confidentiality obligations shall survive termination of this Agreement for years.

Confidential Information does not include information that (a) is or becomes publicly known other than by breach of this Agreement, (b) is rightfully received from a third party without restriction, or (c) is independently developed without use of Confidential Information.

INSURANCE AND INDEMNIFICATION

Participant shall maintain at its own expense appropriate general liability insurance covering its activities at the Event. Participant shall indemnify, defend and hold harmless Organizer and its affiliates from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Participant's negligence or willful misconduct in connection with the Event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications. No amendment shall be effective unless in writing and signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
